CLIENT TERMS
General Terms of Business
The full General Terms of Business in the PDF above govern Pro-Capital's client engagements together with the specific scope, fees and other terms confirmed in the relevant engagement email. The summary below is provided for website convenience only and does not replace the full Terms.
1. Scope of services
The specific services are agreed in the engagement email. Pro-Capital provides administrative and compliance assistance and does not provide legal, tax or accounting advice unless this is expressly agreed in writing. Pro-Capital may use subcontractors to assist with delivery of services.
2. Fees and payment
Fees are set out in the engagement email and are reviewed annually. Unless otherwise agreed, invoices are payable within 10 banking days. VAT and other applicable taxes are charged where relevant. The full Terms contain provisions on late payment, disputed invoices and suspension of services.
3. Client responsibilities and compliance
Clients must provide accurate and complete information and the identification documents required for anti-money laundering and other compliance purposes. Pro-Capital may refuse or terminate services where information is insufficient, inconsistent or creates a compliance concern.
4. Confidentiality and data protection
Confidential information is protected subject to legal and regulatory disclosure requirements. Personal data is processed in accordance with applicable data-protection law and Pro-Capital's Privacy Notice.
5. Limitation of liability
The full Terms contain detailed limitations and exclusions of liability, including provisions addressing reliance on client information, actions of third-party authorities and institutions, indirect losses, registrations and matters outside Pro-Capital's control.
6. Shareholder and internal disputes
Where shareholders, directors or other connected persons give competing instructions or become involved in a dispute, Pro-Capital may act or refrain from acting at its discretion until satisfactory written confirmation is received as to who is authorised to instruct us.
7. Accounting services
Where expressly agreed, Pro-Capital may provide accounting or bookkeeping services. These may include bookkeeping, management accounts, annual accounts, Corporation Tax returns, VAT work, payroll administration and related support. The client remains responsible for providing accurate and timely financial information and reviewing filings before submission.
8. Termination
Either party may generally terminate an engagement on 30 days' written notice. Pro-Capital may terminate immediately in circumstances described in the full Terms, including non-payment, breach, or legal, regulatory or reputational risk.
9. Governing law
The General Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
10. Which document prevails?
The English version of the full General Terms of Business prevails if there is any inconsistency with the Ukrainian version. The full PDF and the applicable engagement email should be read together.
